1. Acceptance of Terms
These Terms of Service constitute a legally binding B2B agreement between you ('Partner') and LLC Vaperi, a Limited Liability Company registered in Georgia (Identification Code: 433102484, National Agency of Public Registry of Georgia), operating the Viberest B2B Partner Portal at p.viberest.com. By creating an account, accessing the portal, or utilizing any Viberest wholesale services, you explicitly agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you warrant that you possess full legal authority to bind that entity. If you do not agree to these Terms, you must not access or use the platform.
2. Reseller Rights & Licensing
LLC Vaperi grants qualified B2B partners a non-exclusive, non-transferable, revocable license to resell wholesale eSIM packages under the Viberest wholesale catalog to retail clients, end-users, or sub-agents. Partners may create white-label storefronts and custom payment links using their own brand identity, provided that the Viberest name, logo, or platform infrastructure is not misrepresented as independently owned or proprietary to the partner. Any sub-licensing or proxy resale chain arrangement — whereby the Partner re-sells wholesale access to another unauthorized B2B entity — is strictly prohibited without prior written consent from LLC Vaperi.
3. Wholesale Pricing & Catalog
Viberest guarantees the wholesale rates displayed inside the B2B catalog at the moment of each confirmed partner purchase. Partners may set their own retail markup prices independently, up to a maximum margin of 45% above the published wholesale rate per package. LLC Vaperi reserves the right to modify baseline wholesale rates dynamically in response to changes in global mobile operator tariffs, GSMA network conditions, or currency fluctuations. Partners will receive advance notification of material pricing changes via the partner dashboard notification system. Free Plan partners receive full catalog access; Pro Plan partners ($29/month) additionally unlock custom domain storefronts, a website builder, and priority support.
4. Account Balances & Payouts
Reseller commission margins are credited to the partner balance ledger immediately upon confirmed retail purchase. Payout disbursements are processed every Monday via Wise, SEPA bank transfer, ACH (United States), or USDT/USDC stablecoin. The minimum payout threshold is $10. Processing time is 3–5 business days from the disbursement date. Partners must maintain accurate and verified billing details in their partner settings. LLC Vaperi reserves the right to withhold, freeze, or delay payout disbursements in the event of active investigation into suspected card fraud, chargeback disputes, or violations of these Terms. Confirmed fraudulent funds will be refunded directly to impacted cardholders. Partners may cancel and refund eligible eSIM orders within fourteen (14) days of purchase, provided the eSIM has zero (0) data usage and has not been scanned or installed ('RELEASED' state). Upon successful cancellation, the retail customer is refunded, and the partner's earned commission is debited/reversed from the partner balance. If the partner's available balance is insufficient to cover the reversed commission, the refund request will be rejected.
5. Technical SLA & End-User Support
LLC Vaperi commits to a 99.9% uptime Service Level Agreement (SLA) for eSIM profile generation webhooks and the wholesale B2B API infrastructure. Planned maintenance windows will be announced in advance via the partner dashboard. Partners bear sole responsibility for providing Tier-1 customer support to their retail clients, including eSIM installation guidance, compatibility questions, and activation assistance. LLC Vaperi provides dedicated Tier-2 technical escalation support to B2B partners through the helpdesk portal. SLA credits for verified downtime may be requested by contacting info@viberest.com within 7 days of the incident.
6. Intellectual Property
All platform software, eSIM catalog data, API structures, branding, and proprietary tooling of the Viberest B2B Partner Portal are the exclusive intellectual property of LLC Vaperi. Partners retain full ownership of their own brand assets, custom logos, and storefront content created using the white-label builder. Partners are granted a limited, revocable license to display Viberest-provided eSIM product data solely for the purpose of B2B resale. Reverse engineering, scraping, reproducing, or redistributing any part of the Viberest platform, catalog API, or pricing database without written authorization is strictly prohibited and may result in immediate account termination and legal action.
7. Limitation of Liability
To the fullest extent permitted by applicable law, LLC Vaperi shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Viberest platform, including but not limited to loss of profits, loss of data, or business interruption. In no event shall LLC Vaperi's total aggregate liability to a Partner exceed the total commission amounts earned by that Partner during the three (3) calendar months immediately preceding the claim. LLC Vaperi does not warrant that the platform will be error-free, uninterrupted, or free of security vulnerabilities, and makes no representations regarding the fitness of eSIM coverage in any specific country for any particular use case.
8. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Georgia. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia. Partners operating in the European Union may also access the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. LLC Vaperi is neither obligated nor willing to participate in consumer arbitration proceedings outside of Georgian courts. These Terms were last updated on June 1, 2026 and supersede all prior agreements between the parties.
